Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Concept platform, including our website at conceptstudio.app, mobile applications, and all related services (collectively, the "Platform"), operated by Passion Collective, LLC ("Concept," "we," "us," or "our"), a Delaware limited liability company.

By creating an account or using the Platform, you agree to be bound by these Terms. Our Privacy Policy, available at conceptstudio.app/privacy, describes how we collect and use your information. If you do not agree to these Terms, do not use the Platform.

Concept is a creative collaboration platform built for producers, project owners, agents, and operators ("Organizers") to create and manage projects, invite collaborators, coordinate workflows, and communicate with their creative network. Concept is a professional tool — not a consumer social network.

You must be at least 18 years of age to use the Platform. By registering, you represent and warrant that:

• ◦You are at least 18 years old;
• ◦You have the legal capacity to enter into a binding agreement;
• ◦All information you provide during registration is accurate and current;
• ◦You will maintain the accuracy of such information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@conceptstudio.app if you suspect unauthorized access.

— Permitted Use

You may use the Platform solely for lawful professional and creative collaboration purposes in accordance with these Terms.

— Prohibited Conduct

You agree not to:

• ◦Use the Platform for any illegal, fraudulent, or unauthorized purpose;
• ◦Send unsolicited commercial messages (spam) to any user;
• ◦Harass, threaten, or abuse any user;
• ◦Upload or transmit viruses or malicious code;
• ◦Attempt to gain unauthorized access to any part of the Platform or its infrastructure;
• ◦Scrape, crawl, or use automated tools to extract data from the Platform without express written permission;
• ◦Impersonate any person or entity, or falsely represent your affiliation;
• ◦Use the Platform's messaging infrastructure to send marketing, promotional, or solicitation messages unrelated to active projects;
• ◦Send content designed to intentionally evade messaging filters, including intentionally misspelled words, non-standard opt-out phrases, or spreading similar messages across multiple numbers;
• ◦Violate any applicable law or regulation, including those related to communications, privacy, and data protection.

— Overview

Concept offers optional SMS notifications to keep you informed about project activity, team updates, and scheduling changes. SMS is an optional feature of the Platform. You are not required to opt in to SMS notifications in order to create an account or use the Platform.

— SMS Consent and Opt-In

If you choose to opt in to SMS notifications during account registration or through your account settings, you consent to receive text messages from Concept at the phone number you provide. You may opt in by checking the SMS notification consent checkbox during signup or by enabling SMS notifications in your account settings at any time. Messages you may receive include:

• ◦Project updates, scheduling changes, and logistics notifications;
• ◦Direct messages from Organizers and collaborators within your projects;
• ◦Platform notifications, such as new project invitations or role assignments;
• ◦Reminder messages related to project milestones or scheduled events;
• ◦Service announcements and operational communications from Concept.

— Message Frequency

Message frequency varies based on your project activity and the number of projects you participate in. Organizers may send project-related messages at their discretion. You may receive multiple messages per day if you are active on multiple projects.

— Message and Data Rates

Standard message and data rates may apply depending on your mobile carrier and plan. Concept does not charge a separate fee for SMS messages, but your carrier may charge for receiving texts. Please contact your carrier for details.

— How to Opt Out

You may opt out of receiving SMS messages from Concept at any time by:

• ◦Replying STOP to any SMS from our platform number (+1 888 652 3252);
• ◦Updating your notification preferences within your account settings on the Platform;
• ◦Contacting us at legal@conceptstudio.app to request removal.

After opting out, you will receive one final confirmation message. You will not receive further SMS messages from Concept unless you opt back in. Opting out of SMS does not delete your account or remove you from active projects.

— HELP Keyword

At any time, you may reply HELP to any SMS from Concept to receive assistance. You may also reach us at legal@conceptstudio.app.

— Organizer SMS Responsibilities

If you are an Organizer using Concept to send SMS messages to collaborators, you represent and warrant that:

• ◦You have obtained valid, prior consent from each recipient before adding them to a project;
• ◦You will only send messages that are directly related to the projects for which consent was obtained;
• ◦You will not use Concept's SMS infrastructure to send marketing, promotional, or solicitation messages unrelated to active projects;
• ◦You will honor all opt-out requests promptly and not re-add users who have opted out;
• ◦Your messages comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all other applicable laws.

Concept reserves the right to suspend or terminate any Organizer's SMS sending privileges for violations of this section.

— Supported Carriers

Concept's SMS service is compatible with all major U.S. carriers including AT&T, Verizon, T-Mobile, and regional carriers. Carrier availability may vary. Carriers are not liable for delayed or undelivered messages. We are not liable for delays or failures in message delivery attributable to your carrier.

— No Sharing of SMS Data

Concept does not sell, rent, or share phone numbers or SMS consent data collected through our SMS program with third parties for their own marketing purposes.

— Your Content

You retain ownership of any content you submit, post, or upload to the Platform ("User Content"). By submitting User Content, you grant Concept a non-exclusive, worldwide, royalty-free license to use, store, display, and transmit your User Content solely for the purpose of operating and improving the Platform.

— Concept IP

All Platform software, design, trademarks, logos, and original content are the property of Passion Collective, LLC and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

— Feedback

Any feedback, suggestions, or ideas you provide to us may be used by Concept without obligation or compensation to you.

The Platform integrates with third-party services to deliver functionality. By using the Platform, you acknowledge that:

• ◦SMS messages are delivered via Twilio, Inc., and are subject to Twilio's Acceptable Use Policy;
• ◦Concept is not responsible for the uptime, accuracy, or conduct of third-party services;
• ◦Links to third-party websites or services are provided for convenience only and do not constitute endorsement.

— By You

You may terminate your account at any time by contacting us at legal@conceptstudio.app or through the account settings page. Termination will take effect within 5 business days.

— By Concept

We may suspend or terminate your account, with or without notice, if:

• ◦You violate these Terms;
• ◦Your use of the Platform creates legal exposure for us or other users;
• ◦We are required to do so by law or court order;
• ◦We discontinue the Platform (with reasonable advance notice).

Upon termination, your right to access the Platform ceases. Sections 5, 6, 8, 9, 10, 11, and 12 survive termination.

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Concept does not warrant that the platform will be uninterrupted, error-free, or free of viruses or harmful components.

To the maximum extent permitted by applicable law, Passion Collective, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or in connection with your use of the platform, even if advised of the possibility of such damages.

In no event shall our total liability to you exceed the greater of (a) the amount you have paid to us in the twelve months prior to the claim, or (b) one hundred dollars ($100).

You agree to indemnify, defend, and hold harmless Passion Collective, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party right.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. The arbitration shall take place in New York, NY. You waive any right to a jury trial or to participate in a class action lawsuit.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the Effective Date above. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Concept regarding use of the Platform.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights freely.
• Force Majeure: We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, carrier outages, or government actions.
